Terms of Service

These terms govern your use of the T4 Inventory website at www.t4inventory.com and, where they apply, the T4 Inventory product.
They are written to be read. Where a commercial term has not been set, these terms say nothing rather than inventing one.
1. Accepting these terms
By using this website, submitting a demo request or using T4 Inventory, you agree to these terms. If you do not agree, do not use them.
If you are agreeing on behalf of a company or another organisation, you confirm that you are authorised to bind it, and "you" means that organisation.
2. Who you are contracting with
T4 Inventory is a product of TECH4 SOLUTIONS LLC, a limited liability company with a business address at 125 Commerce Dr, Schaumburg, IL 60173, United States. In these terms, "we", "us" and "our" mean TECH4 SOLUTIONS LLC.
A separate written agreement between your business and us takes precedence over these terms where the two differ.
3. Who may use the service
To use this website or T4 Inventory you must:
- Be at least 18 years old.
- Have the legal capacity to enter into a binding agreement.
- Use the service for business or professional purposes.
T4 Inventory is a business product. It is not offered for personal, family or household use, and it is not directed at children.
4. Accounts and credentials
Some parts of the service require an account. You are responsible for the accuracy of the details you register, for keeping your credentials confidential, and for what happens under your account.
Do not share credentials, and do not let anyone use your account who is not authorised to. Tell us at support@t4app.com as soon as you believe an account has been compromised.
Where your business creates accounts for its staff, your business is responsible for who has access and for removing access when someone leaves.
5. What you may do
You may use this website to learn about T4 Inventory and to request a demonstration.
Where you have access to the product, you may use it to run the inventory, purchasing and sales operations of your own business, in the ordinary way the product is meant to be used, and within any limits set by your agreement with us.
6. What you may not do
You may not:
- Access, or try to access, any account, system, data or part of the service you are not authorised to reach.
- Probe, scan or test the security of the service, or get around any authentication, rate limit or other control, except with our written permission.
- Use the service to commit fraud, to send unsolicited or bulk messages, or to submit false or misleading information through our forms.
- Interfere with the service or the infrastructure behind it, including by overloading it, by automating requests to it, or by scraping it.
- Copy, modify, translate, reverse engineer, decompile or disassemble the service or any part of it, or try to derive its source code, except to the extent that applicable law expressly permits despite this restriction.
- Upload or transmit anything unlawful, infringing, defamatory, or containing malware.
- Use the service to store or process information you are not entitled to hold.
- Resell, sublicense or make the service available to a third party as a service of your own, unless we agree in writing.
- Remove or obscure any notice of ownership on the service.
7. Your data and content
The records your business enters into T4 Inventory remain yours. That includes your products, warehouses, documents, and the details you hold about your own customers, vendors and staff.
You are responsible for that content: for having the right to hold it, for its accuracy, and for complying with the law that applies to you when you collect and use it. If you enter personal information about other people, you decide what is collected and why, and we handle it on your instructions.
You are responsible for keeping your own copies of anything you would not want to lose.
8. The permission you give us
To operate the service, we need permission to handle your content in the ways the software requires. You grant us a non-exclusive, worldwide, royalty-free licence to host, store, copy, transmit, display and process your content solely to provide, maintain, secure and support the service for you.
That permission exists for one reason: to run the service. It does not let us use your content for our own purposes, and it ends when your content is deleted or your use of the service ends, except for copies kept in routine backups until they expire.
9. Our intellectual property
The service, including its software, design, text, graphics and the T4 Inventory name and logo, belongs to TECH4 SOLUTIONS LLC or its licensors and is protected by intellectual property law.
These terms give you permission to use the service. They do not transfer any ownership to you. Any rights not expressly granted are reserved.
If you send us feedback or suggestions, we may use them without obligation to you.
10. Third-party services
The service relies on providers such as our hosting and database providers, and it can connect to services you choose to enable, such as a payment or messaging provider. Those services are operated by other companies under their own terms.
This website also links to other sites, including tech4shops.com and t4app.com. We are not responsible for the content or practices of a site we do not operate.
Where you enable a third-party service, you are responsible for your relationship with that provider, including any fees it charges.
11. Availability and changes to the service
We work to keep the service available, but we do not commit to a particular level of availability, and no uptime guarantee is made by these terms.
The service may be unavailable during maintenance, or because of a failure, a change by a provider we depend on, or something outside our control. We will try to keep planned interruptions short and to give notice where it is practical.
We may change, add or remove features. If we remove something you rely on, we will try to give reasonable notice. Any commitment about a specific feature has to be in a written agreement with your business.
12. Suspension and termination
We may suspend or end access if you breach these terms, if your use puts the service, its data or other users at risk, or if we are required to by law. Where it is reasonable to do so, we will tell you first and give you a chance to put things right.
You may stop using the service at any time.
What happens to your data when access ends is governed by the agreement between your business and us. If there is no such agreement, write to support@t4app.com and we will tell you what we can do before anything is removed.
Sections that by their nature should survive the end of these terms do survive, including intellectual property, disclaimers, limitation of liability, indemnity and governing law.
13. Disclaimers
The service is provided "as is" and "as available".
To the maximum extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
We do not warrant that the service will be uninterrupted or error-free, that defects will be corrected, or that it will meet a requirement we have not agreed with you in writing.
T4 Inventory helps you record and track information. It does not verify that what you enter is correct, and it is not accounting, tax, legal or professional advice. You remain responsible for your own records and for decisions you make using them.
Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
14. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost business or lost or corrupted data, however caused, even if we were told such damages were possible.
To the maximum extent permitted by law, our total liability arising out of or relating to the service is limited to the maximum extent applicable law permits. Where a written agreement between your business and us sets a limit, that limit applies.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including for fraud.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
15. Indemnity
You agree to defend and indemnify us against third-party claims, and the reasonable costs and damages that follow from them, to the extent they arise out of your breach of these terms, your misuse of the service, or content you put into the service that you were not entitled to hold or use.
This does not apply to the extent a claim arises from our own act or omission. We will tell you promptly about any claim, let you control the defence of it where you are entitled to, and cooperate reasonably with you. You may not settle a claim in a way that imposes an obligation on us without our consent.
16. Governing law and where disputes are heard
These terms and any dispute arising out of them or the service are governed by the laws of the State of Illinois, United States, without regard to its conflict of laws rules.
You and we agree that the state and federal courts located in Cook County, Illinois have exclusive jurisdiction, and each of us consents to the personal jurisdiction of those courts.
Before starting a formal claim, please write to support@t4app.com so that we can try to resolve the matter directly.
17. General
- If a provision of these terms is held unenforceable, the rest stays in force and the provision is applied as closely as the law allows to what it was meant to do.
- Not enforcing a term on one occasion does not waive it.
- You may not transfer your rights under these terms without our written consent. We may transfer ours in connection with a merger, an acquisition or a sale of assets.
- Nothing here creates a partnership, an agency or an employment relationship between us.
- These terms, together with any written agreement between your business and us and the Privacy Policy, are the whole agreement about the service.
18. Changes to these terms
We may update these terms. When we do, we will change the date at the top of this page, and if the change is significant we will say what changed.
Continuing to use the service after a change means you accept the updated terms. If you do not accept them, stop using the service.
